Notice to California Holders of Master Protection Agreements Purchased Before November 15, 2006

Effective November 15, 2006, Sears, Roebuck and Co. and its affiliated subsidiaries modified the Master Protection Agreement (the “Agreement”) for California customers. Among other changes, Sears removed the “ARBITRATION” clause in the Agreement (paragraph 12 of the old Agreement) and added language to the “LIMITATION OF LIABILITY” clause (paragraph 11 of the old Agreement) making clear that Sears will not seek to limit its liability beyond legal limits.
